Terms of Service

Issued by NEOONE EMPIRE SDN. BHD., trading as The One Percent Academy

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "Student," "you," or "your") and NEOONE EMPIRE SDN. BHD., a company incorporated in Malaysia under the Companies Act 2016, operating under the trading name and brand "The One Percent Academy" (also referred to as "TOPA," "the Academy," "we," "us," or "our"). These Terms govern your access to and use of our website, our courses, mentorship programs, community channels, live and recorded events, and any other products or services we make available (collectively, the "Services").

By purchasing, accessing, registering for, or otherwise using any part of the Services, you confirm that you have read, understood, and agree to be bound by these Terms, together with our Privacy Policy, Return Policy, and End User License Agreement ("EULA"), each of which is incorporated into these Terms by reference. If you do not agree to these Terms, you must not access or use the Services.

1. Definitions

2. Eligibility

You must be at least 18 years old to purchase or use the Services. By using the Services, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into a binding contract. The Services are intended for individuals seeking general education on trading methodology and are not directed at, or intended for use by, minors. You are solely responsible for ensuring that your access to and use of the Services complies with the laws of the country in which you reside, including any laws relating to financial education, trading, or investment-related content.

3. Educational Purpose Only — No Financial, Investment, or Trading Advice

This is one of the most important sections of these Terms. Please read it carefully.

The Company, Neoh Yong, and all instructors, coaches, and representatives of The One Percent Academy provide general education on trading methodology, market analysis frameworks (including HMPPEE), and personal trading discipline systems (including the Weekly Reset). Nothing provided through the Services — including course content, live sessions, mentorship calls, community discussion, market commentary, or any written or verbal communication — constitutes personalized financial advice, investment advice, a recommendation to buy, sell, or hold any security, currency, derivative, or other financial instrument, or a solicitation of any transaction.

We do not know your individual financial circumstances, risk tolerance, or investment objectives, and nothing in the Services is tailored to your personal situation. Any decision to trade or invest, and the method by which you do so, is made entirely at your own discretion and risk.

Neither the Company nor Neoh Yong is licensed by, registered with, or regulated by the Securities Commission Malaysia under the Capital Markets and Services Act 2007, the UK Financial Conduct Authority, the Monetary Authority of Singapore, the U.S. Commodity Futures Trading Commission, the U.S. National Futures Association, the U.S. Securities and Exchange Commission, or any equivalent regulator in any other jurisdiction, as an investment adviser, financial adviser, broker-dealer, or provider of regulated capital markets services. We do not hold ourselves out as being licensed to do so, and this disclaimer does not, by itself, exempt us from any licensing requirement that may otherwise apply; the Programs are structured and delivered as general education in trading methodology and personal process, and not as individualized advice or trade signals given for a fee.

If you require financial, investment, tax, or legal advice specific to your circumstances, you should consult an appropriately licensed and independent professional in your jurisdiction before making any financial decision.

4. Risk Disclosure

Trading in foreign exchange, derivatives, and other financial instruments involves a substantial risk of loss and is not suitable for every individual. You should be aware of, and willing to accept, the following before participating in any Program:

5. No Guarantee of Results; Earnings and Performance Disclaimer

Any results, testimonials, case studies, screenshots, or statements shared by the Company, by Neoh Yong, or by other students (whether in course materials, on our website, in emails, on social media, or in the Telegram community) reflect the individual, self-reported experience of that person and are not typical, average, or guaranteed outcomes. They are shared for illustrative purposes only. Your results, if any, will depend on factors entirely outside our control, including your own discipline, capital, risk management, market conditions, and effort, and may differ substantially from any example shared. We make no representation, express or implied, that any User will achieve any particular level of profitability, consistency, or trading performance by completing or participating in any Program.

6. Our Programs and Services

We currently offer, and may from time to time add, remove, or modify, the following categories of Programs: (a) a complimentary introductory masterclass; (b) the Foundation program; (c) the Transformation program; (d) Mentorship programs, offered in 3-month and 6-month formats, which may include one-on-one access with Neoh Yong; and (e) special or custom events, delivered live or made available as recordings, which we may offer from time to time. Course access, checkout, and billing for the Programs are handled through Whop. Depending on the Program you purchase, you may also receive access to supporting learning materials and one or more of our Telegram community channels. The specific inclusions, format, duration, and delivery method of each Program are as described on the relevant product page at the time of purchase. We reserve the right to update the format or delivery of a Program (for example, updating course content or moving between live and recorded delivery of an event), provided that we do not materially reduce the overall value of what you purchased without reasonable notice.

7. Registration, Accounts, and Access

To access certain Services you must complete checkout through Whop and, where applicable, complete an onboarding or intake process. You agree to provide accurate, current, and complete information and to keep it up to date. Access credentials (including access to Whop, Telegram groups, and any learning portal) are personal to you and may not be shared, sold, transferred, or used by any other person. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs through your account. Notify us promptly at info@neo-trading-consultants.com if you become aware of any unauthorized use of your account or access.

8. Fees, Payment, and Third-Party Processing

All fees for the Programs are as displayed at checkout at the time of your purchase, in the currency shown. Payments are processed by Whop, an independent third-party commerce and payment platform. We do not directly collect or store your full payment card details; those details are handled by Whop and its payment partners in accordance with their own terms and security standards. Where a Program is offered on an installment or payment-plan basis, the specific number, amount, and timing of installments will be as presented to you at checkout, and you authorize the recurring charges necessary to complete that plan. If a scheduled installment payment fails or is not made, we reserve the right to suspend or terminate your access to the relevant Program until payment is brought current. You are responsible for any taxes, duties, or bank/currency-conversion charges associated with your purchase, except for taxes we are required by law to collect and remit.

9. Refunds

All sales are final. Please see our Return Policy, which is incorporated into these Terms by reference, for the complete terms governing refunds, including the narrow circumstances in which a refund may be legally required.

10. License to Use Our Content

Your purchase of a Program grants you a limited, personal, non-exclusive, non-transferable, and revocable license to access and use the Content solely for your own personal, non-commercial educational purposes, as further described in our EULA, which is incorporated into these Terms by reference. No Program purchase transfers ownership of any Content, framework, trademark, or other intellectual property to you.

11. Community Guidelines and User Conduct

Where your Program includes access to a Telegram community channel, live session, or mentorship call, you agree to engage respectfully and in good faith with the Company, its representatives, and other Users. Without limitation, you agree not to:

We may, at our discretion, remove any User from a community channel, event, or Program for violating this Section, without any obligation to refund fees paid, in accordance with our Return Policy.

12. Intellectual Property

All Content, together with the HMPPEE methodology, the Weekly Reset framework, our course curricula, trademarks (including the "The One Percent Academy" name and any associated logos), and all other intellectual property made available through the Services, is and remains the exclusive property of the Company and/or Neoh Yong, whether or not registered, and is protected by applicable copyright, trademark, and other intellectual property laws. Except for the limited license expressly granted under Section 10 and our EULA, nothing in these Terms grants you any right, title, or interest in that intellectual property.

13. User Submissions and Testimonials

If you submit feedback, comments, questions, results, or other content to us (including through community channels, surveys, intake forms, or direct communication), you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, and display that submission for our internal purposes, including improving the Services. We will not publish your name, likeness, or specific submission as a testimonial or case study in our marketing without first seeking your permission to do so.

14. Third-Party Platforms and Services

The Services rely on third-party platforms, including Whop (checkout and community access), Telegram (community messaging), and other hosting, video, and productivity tools we use to deliver Content. Your use of those platforms is also subject to their own respective terms of service and privacy policies. We are not responsible for the availability, security, features, or conduct of any third-party platform. Any outage, policy change, or discontinuation of a third-party platform is outside our control, although we will make reasonable efforts to notify you and provide an alternative means of access where practicable.

15. Suspension and Termination

We may suspend or terminate your access to any Program, without prior notice and without any obligation to refund fees paid, if: (a) you breach these Terms, our Return Policy, our EULA, or any applicable community guideline; (b) you engage in fraudulent, abusive, or unlawful conduct in connection with the Services; (c) a payment due from you is not received, is reversed, or is charged back without a valid basis; or (d) we are required to do so by law or by a third-party platform on which the Services rely. You may stop using the Services at any time, but doing so does not entitle you to any refund except as set out in our Return Policy.

16. Disclaimers of Warranties

To the fullest extent permitted by applicable law, the Services and all Content are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure, or that any Content is complete, current, or applicable to your particular circumstances or jurisdiction. Nothing in this Section excludes or limits any warranty or right that cannot lawfully be excluded or limited under the laws applicable to you, including any statutory consumer protections that may apply in your country of residence.

17. Limitation of Liability

To the fullest extent permitted by applicable law, in no event will the Company, Neoh Yong, or their respective officers, employees, contractors, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, trading losses, data, or goodwill, arising out of or in connection with your access to or use of (or inability to access or use) the Services, whether based on contract, tort, negligence, strict liability, or any other legal theory, even if we have been advised of the possibility of such damages. To the fullest extent permitted by applicable law, our total aggregate liability to you for any claim arising out of or relating to the Services will not exceed the total amount you actually paid to us for the specific Program giving rise to the claim in the twelve (12) months preceding the event giving rise to the liability. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

18. Indemnification

You agree to indemnify, defend, and hold harmless the Company, Neoh Yong, and their respective officers, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with: (a) your breach of these Terms, our EULA, or our Return Policy; (b) your trading or investment decisions or activities, whether or not related to your participation in the Services; (c) your violation of any law or third-party right; or (d) any Content you submit or share through the Services.

19. Governing Law and Dispute Resolution

These Terms, and any dispute arising out of or in connection with them or the Services, are governed by the laws of Malaysia, without regard to conflict-of-law principles. Subject to any statutory consumer protection that cannot be waived under the law of your country of residence, you agree that the courts of Malaysia will have exclusive jurisdiction to resolve any dispute arising out of or relating to these Terms or the Services, and you submit to the personal jurisdiction of those courts.

20. Changes to These Terms

We may update these Terms from time to time to reflect changes in our Programs, our practices, or applicable law. We will post the updated Terms on our website, and, where required by law or where the changes are material, provide additional notice (such as by email). We recommend reviewing these Terms periodically. Your continued use of the Services after an update is posted constitutes your acceptance of the updated Terms.

21. Force Majeure

We will not be liable for any delay or failure to perform any obligation under these Terms where the delay or failure results from any cause beyond our reasonable control, including natural disaster, act of government, war, terrorism, civil unrest, labor dispute, internet or telecommunications failure, or failure of a third-party platform on which the Services rely.

22. Miscellaneous

If any provision of these Terms is found to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect. These Terms, together with our Privacy Policy, Return Policy, and EULA, constitute the entire agreement between you and the Company regarding the Services and supersede any prior agreements. You may not assign or transfer these Terms or any of your rights under them without our prior written consent; we may assign these Terms freely in connection with a merger, acquisition, or sale of assets. Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision. Any notice to us under these Terms should be sent to info@neo-trading-consultants.com.
