End User License Agreement (EULA)

This End User License Agreement ("EULA") governs your use of the digital content, materials, and community access made available to you by NEOONE EMPIRE SDN. BHD., trading as The One Percent Academy ("Company," "we," "us," or "our"), in connection with the Programs you purchase. This EULA is incorporated into, and should be read together with, our Terms of Service, Privacy Policy, and Return Policy. By purchasing or accessing any Program, you agree to the terms of this EULA.

1. Grant of License

Subject to your compliance with this EULA, our Terms of Service, and payment of all applicable fees, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Content (as defined in Section 2) solely for your own personal, non-commercial, educational use. This is a license to use the Content, not a sale of it, and no ownership rights are transferred to you.

2. Scope of Licensed Content

Depending on the Program you purchase, the Content made available to you may include:

• course access and delivery through Whop;
• recorded or streamed course videos and supporting written materials, resource documents, and onboarding guides;
• access to one or more Telegram community channels;
• live one-on-one mentorship calls, where included in your Program; and
• special or custom events, delivered live or made available as recordings (collectively, the "Content").

The specific Content included in your license depends on the Program tier you purchased, as described at checkout.

3. License Restrictions

You agree that you will not, and will not permit or assist any third party to:

• copy, download, screen-record, capture, reproduce, distribute, publish, broadcast, transmit, or otherwise make available any Content to any person who has not independently purchased access to it;
• resell, rent, lease, sublicense, or otherwise commercially exploit any Content or your access to it;
• use the Content, in whole or in part, to create a competing course, program, or product;
• modify, adapt, translate, reverse engineer, decompile, or create derivative works based on the Content;
• remove, obscure, or alter any copyright, trademark, or other proprietary notice contained in the Content;
• use any automated means (including bots, scrapers, or scripts) to access or download the Content in bulk; or
• share your login credentials or community access with any other person.

We reserve the right to monitor use of the Content and community channels for compliance with this EULA, and to revoke access, without refund, where we reasonably believe this Section has been violated, in accordance with our Return Policy.

4. Intellectual Property Ownership

All Content, together with the HMPPEE methodology, the Weekly Reset framework, our course curricula and structure, the "The One Percent Academy" name and any associated branding, and all other intellectual property embodied in the Content, is and remains the sole and exclusive property of the Company and/or Neoh Yong, whether or not formally registered as a trademark or otherwise. This EULA does not grant you any right, title, or interest in that intellectual property beyond the limited license expressly set out in Section 1.

5. User Submissions and Community Content

If you post messages, questions, results, or other content within our Telegram community channels or share feedback with us directly, you retain ownership of what you post, but you grant us a non-exclusive, worldwide, royalty-free license to use, store, and display that content for the purpose of operating and moderating the community and improving our Services. As set out in our Terms of Service, we will seek your permission before using your name, likeness, or specific submission publicly as a testimonial or case study.

6. Third-Party Platforms

Some Content is delivered or hosted through third-party platforms, including Whop, Telegram, and our video hosting and resource-management providers. Your use of those platforms is also governed by their own respective terms of service, and this EULA does not modify or override those terms. We are not responsible for any interruption, modification, or discontinuation of Content caused by a change in a third-party platform's policies or availability, though we will make reasonable efforts to notify you and, where practicable, provide an alternative means of access.

7. Term and Termination of License

This license takes effect when you purchase or first access a Program and continues for as long as you have active, paid access to that Program (which, depending on the Program, may be a one-time purchase with ongoing access, or ongoing access tied to a subscription or payment plan). Your license terminates automatically, without notice, if:

• you breach this EULA, our Terms of Service, or our Return Policy;
• a required payment is not made or is charged back without a valid basis; or
• we discontinue the relevant Program and provide you notice of discontinuation, in which case we will make reasonable efforts to provide you with alternative access or materials of comparable value where feasible.

Upon termination of your license for any reason, you must immediately stop using the Content and, if requested, delete any copies you have retained in violation of Section 3.

8. Modifications to Content

We may, at our discretion, update, revise, expand, or discontinue specific pieces of Content (for example, updating a course video or resource document) to keep the Programs current and effective, without any obligation to notify you of every individual change. We do not guarantee that any specific piece of Content will remain available indefinitely or unchanged.

9. No Warranty

To the fullest extent permitted by applicable law, the Content is provided "as is" and "as available," without warranty of any kind, express or implied, including any warranty of accuracy, completeness, fitness for a particular purpose, or non-infringement. Nothing in this Section excludes or limits any warranty that cannot lawfully be excluded or limited under the law applicable to you.

10. Limitation of Liability

Our liability arising out of or in connection with this EULA is subject to, and limited in accordance with, the Limitation of Liability section of our Terms of Service, which is incorporated into this EULA by reference.

11. Relationship to Other Agreements

This EULA supplements, and should be read together with, our Terms of Service, Privacy Policy, and Return Policy. In the event of a direct conflict between this EULA and the Terms of Service regarding the license to use Content, this EULA will govern; in all other respects, the Terms of Service will govern.

12. Governing Law

This EULA is governed by the laws of Malaysia, consistent with the governing law provision of our Terms of Service.
